These Terms of Service ("Terms") govern your use of the Elioplatform (the "Service") provided by Elio Labs Inc.("we," "us"). By creating an account or using the Service, you agree to these Terms.
1. Description of the Service
Elio is an AI assistant platform that lets you chat with configurable agents, connect integrations (such as email, calendar, or other APIs you authorize), MCP servers, encrypted credential storage when you enable it, and dashboard features (views, scheduled tasks, notifications) according to your plan. The Service may evolve; we will notify you of material changes where the law requires.
2. Account and eligibility
You must provide accurate information and keep your account secure (password, session, devices). You are responsible for activity under your account. The Service is not directed at children under 16 (or the minimum age required in your jurisdiction).
3. Acceptable use
You must not use the Service to:
- Violate laws or third-party rights.
- Send spam, malware, unlawful content, or content that infringes intellectual property.
- Attempt unauthorized access to systems, accounts, or data belonging to others.
- Overload, attack, or circumvent security or technical limits (rate limits, plan quotas).
- Resell or redistribute the Service without authorization.
4. Content and AI outputs
AI-generated responses may be inaccurate or incomplete. They do not constitute legal, medical, financial, or other professional advice. You evaluate and use outputs at your own risk. You retain rights in content you provide; you grant us a limited license to operate, host, and process that content to provide the Service.
5. Integrations and OAuth
If you connect third-party services (Google, Microsoft, Intuit QuickBooks, or others), their terms and policies also apply. We only access permissions you authorize in the OAuth flow. You may revoke access from the provider's settings or by disconnecting the integration in Elio where available.
6. Plans, billing, and trials
Some features may be limited by plan (e.g. usage caps, integrations, or storage). Specific commercial terms are shown at signup or in product documentation.
7. Availability and changes
We strive for reliable operation but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features with reasonable notice where appropriate.
8. Suspension and termination
We may suspend or close accounts that breach these Terms or as required by law. You may stop using the Service at any time; provisions that by their nature should survive (limitation of liability, governing law) will remain in effect.
9. Disclaimer of warranties
The Service is provided "as is" and "as available" to the fullest extent permitted by law, without express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from use or inability to use the Service. Our aggregate liability for claims relating to the Service in any twelve-month period will not exceed the fees you paid for the Service in that period or, if none, one hundred U.S. dollars (USD 100).
11. Governing law
Unless mandatory law in your country provides otherwise, these Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Consumers in the EU/EEA may have mandatory rights in their country of residence.
